Terms of use

These terms of use (the "Terms") govern your access to and use of the website at experientiallabs.ai (the "Site"), which is operated by Resolute Labs AI, Inc., a Delaware corporation operating as Experiential Labs ("Experiential Labs", "we", "us", or "our"). Please read them carefully. If you have questions about the Terms, contact us at the address in section 13.

1. Acceptance and scope

By accessing or using the Site you agree to be bound by these Terms and by our privacy policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Site. The Terms apply to every visitor to the Site, including visitors who never submit a form. They form a legal agreement between you and Experiential Labs regarding the Site only.

2. Eligibility

You must be at least 18 years of age to use the Site. By using the Site you represent that you are 18 or older and have the legal capacity to enter into these Terms. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes it.

3. The Platform and other services

The Experiential Labs platform at platform.experientiallabs.ai (the "Platform") is a separate service that these Terms do not govern. Your account, API keys, usage, credits, and billing are handled on the Platform, and nothing on the Site changes them. Where the Site collects an email address and redirects you to the Platform, these Terms stop applying the moment you arrive there.

The Site describes our products and publishes writing, case studies, and pricing. That content is informational. Prices shown on the Site may change, and the price you pay is the one shown on the Platform at the time of purchase. Case study results describe what happened for a specific customer on a specific workload and are not a representation about the results you will obtain.

When you join a waitlist, request an evaluation, apply to the startup program, or book a call, you agree that the information you give is accurate and current, and that we may contact you about the request. Startup program credits and pricing offers described on the Site are subject to review and to the Platform's terms.

4. Acceptable use

You agree that you will not:

  1. crawl, scrape, or otherwise extract content from the Site by automated means beyond what the Site's robots.txt permits, or at a rate that burdens the Site. Automated agents may read the Site's pages, including the markdown variants and /llms.txt the Site serves for that purpose, within those limits;
  2. submit false, misleading, or third-party information through any form on the Site, submit forms by automated means, or use the forms or the booking links to send unsolicited messages or to make bookings you do not intend to keep;
  3. interfere with the operation or security of the Site, probe or test its vulnerabilities without our written permission, or circumvent any measure we use to restrict access;
  4. introduce malware or any other harmful code to the Site or to the infrastructure that serves it;
  5. use the Site in any way that violates applicable law, including export control and sanctions laws; or
  6. frame or mirror any part of the Site, or remove any proprietary notice from content obtained from it.

We may restrict or block access to the Site, and refuse or discard any form submission, where we reasonably believe these Terms have been breached.

5. Intellectual property

5.1 Site content

The text, design, graphics, code, and other content of the Site, and the selection and arrangement of them, belong to Experiential Labs or its licensors and are protected by copyright and other intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational purposes. You may quote from the Site with attribution and a link to the page quoted. Any other use, including reproduction or distribution of Site content, needs our prior written permission.

5.2 The gateway source code

The gateway software is published at github.com/experientiallabs/experiential under the Apache License, Version 2.0. That license, and only that license, governs your use, modification, and distribution of the code. Nothing in these Terms limits the rights the Apache License grants you, and nothing in the Apache License grants rights in the Site content described in section 5.1.

5.3 Trademarks

"Experiential Labs" and the Experiential Labs logo are trademarks of Experiential Labs. Third-party names and logos shown on the Site belong to their owners and appear only to identify the products and services they refer to. No endorsement is implied.

5.4 Feedback

If you send us suggestions or feedback about the Site or our products, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

6. Third-party links and services

The Site links to GitHub, Discord, Cal.com, the Platform, and other websites and services we do not control. Those links are provided for convenience. We are not responsible for the content, terms, or privacy practices of any third-party site or service, and a link does not mean we endorse it. Your use of a third-party site or service is governed by its own terms and policies.

7. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, EXPERIENTIAL LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (TOGETHER, THE "EXPERIENTIAL LABS PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE EXPERIENTIAL LABS PARTIES DO NOT WARRANT THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR FREE OF ERRORS OR HARMFUL COMPONENTS, OR THAT ANY CONTENT ON THE SITE, INCLUDING PRICING, BENCHMARKS, AND CASE STUDY RESULTS, IS ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE EXPERIENTIAL LABS PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF THE EXPERIENTIAL LABS PARTIES FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

9. Indemnity

You agree to defend, indemnify, and hold harmless the Experiential Labs Parties from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or connected with your use of the Site in breach of these Terms, your violation of any law, or your violation of any third-party right. We may assume the exclusive defense and control of any matter subject to this indemnity, in which case you agree to cooperate with that defense.

10. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You and Experiential Labs consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any such dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

11. Changes to these terms

We may modify these Terms from time to time. The date at the top of this page shows when they were last updated, and the current version will always be posted at experientiallabs.ai/terms. Your continued use of the Site after a change takes effect constitutes your acceptance of the change. If you do not agree to a change, stop using the Site.

12. General

These Terms and the privacy policy constitute the entire agreement between you and Experiential Labs regarding the Site and supersede any earlier agreement on the same subject. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and the invalid provision will be enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our prior written consent; we may assign them to a successor in connection with a transaction described in the privacy policy. The section headings are for convenience only and do not affect interpretation. Sections 5, 7, 8, 9, 10, and 12 survive any termination of your use of the Site.
